TETON COUNTY DEMOCRATIC COMMITTEE BYLAWS
Article I. NAME, PURPOSE AND AUTHORITY
Article I. Section 1. Name. The name of this organization is the Teton County Democratic Committee hereinafter referred to as the Teton County Democratic Party (TCDP).The TCDP is affiliated with the Democratic Party of Idaho. The Democratic Party of Idaho is a political party as defined in Idaho Code Section 34-501(1).
Article I. Section 2. Purpose. The purpose of the TCDP is to act as the governing body for all members of the Democratic Party of Idaho residing in Teton County.
Article I. Section 3. Authority. The TCDP is organized pursuant to Idaho Code Section 34-502. The TCDP has all the rights and authority consistent with local, state and federal law and the Bylaws of the Democratic Party of Idaho.
Article I. Section 4. The TCDP is an open and inclusive organization.
Article II. MEMBERSHIP
Article II. Section 1. The following shall constitute the voting members of the TCDP:
A. Central Committee. Pursuant to Idaho Code Section 34-502, the following Central Committee members shall have the right to vote on any items lawfully presented to the Central Committee for a vote: Precinct Committee persons (hereinafter referred to as Precinct Captains) representing precincts located in Teton County and the Chair of the TCDP.
B. Executive Committee. In addition to the Central Committee, (with the exception of nominations to fill vacancies as set forth in Idaho Code Sections 34-502, 59-901, 59-906, 59-907 or other functions limited by Idaho Code to the Precinct Captains and Chair) the following officers are members of the TCDP Executive Committee with the right to vote on any items lawfully presented to the TCDP for a vote: TCDP Vice Chair, TCDP Treasurer, TCDP Secretary, the TCDP State Committeeman, the TCDP State Committeewoman, and such other officers as the Precinct Captains may desire who shall hold office at the pleasure of the Central Committee or until their successors are elected. No person who is a candidate to fill a Precinct or Deputy Precinct vacancy may vote to fill that vacancy at the meeting in which candidates for that vacancy are elected.
C. Elected Officials. The following additional people shall be members of the TCDP and may vote on all items not reserved for the Central Committee or the Executive Committee: Democratic members of the Idaho State Legislature who reside in Teton County representing districts entirely or partially in Teton County and Democrats who hold elected Teton County office as Democrats and Teton County residents who hold elected Congressional or State-wide office as Democrats.
D. Committee Chairs. The duly appointed chairs of committees as established by the TCDP Chair and approved by the TCDP may vote on all items not reserved for the Central Committee or the Executive Committee.
E. Past TCDP Chair. The immediate past chair of the TCDP, residing in Teton County, may vote on all items not reserved for the Central Committee or the Executive Committee for the two years until the next organizational meeting.
F. Legislative District Chair. The duly elected chair of the Legislative District that includes Teton County may vote on all items not reserved for the Central Committee or the Executive Committee.
Article II. Section 2. Election of Precinct Captains and procedure for filling vacancies.
A. Eligibility. Any member of the Democratic Party of Idaho who has attained the age of eighteen and resided in his or her precinct for six months preceding the state primary election is eligible to be elected as the Democratic Precinct Captain for that precinct in accordance with Idaho Code Section 34-624.
B. Term. The terms of office for all Precinct Captains, except those who are elected to fill a vacancy, shall be two years and such terms shall begin on the eighth day following the state primary in which they were elected until the eighth day following the next state primary election.
C. Vacancies. Whenever a vacancy in the position of a Precinct Captain occurs, any member of the Central Committee may nominate, at a regularly scheduled meeting for the TCDP or special meeting of the Central Committee, any member of the Democratic Party of Idaho, who is at least 18 years of age, is a resident and qualified elector of the precinct where the vacancy has occurred and has resided in the precinct for at least the previous six months. Such nomination requires a second from another member of the Central Committee. Upon a vote of the majority of all Article II Section lA voting members present (i.e. Committee Chair and remaining Precinct Captains. Pursuant to Idaho Code Section 34-502, this/unction is limited by Idaho Code to the Precinct Captains and Chair), including valid proxies. The nominees shall be elected to serve as Precinct Captains until the next regular election of Captains in the next Primary Election.
D. Precinct Deputies. Any member of the Central Committee may nominate at any regular or special meeting of the TCDP any member of the Democratic Party of Idaho to serve as Precinct Deputy of the precinct in which there is a Precinct Captain, so long as the nominee for Precinct Deputy meets the above-described requirements for Precinct Captain. Such a nomination requires the second of another member of the Central Committee. Upon the vote of a majority of all Central Committee voting members present, including valid proxies, the nominee shall be elected and shall serve for a period equal to the term of the Precinct Captain in that precinct. Pursuant to Article IV, Section 6, a Precinct Deputy shall have an automatic proxy and the right to vote at any regular or special meeting of the Central Committee in the event the Precinct Captain for the precinct is absent from such meeting or for such vote.
Article II. Section 3. Election of TCDP Officers and procedure for filling vacancies.
A. Eligibility. Any member of the Democratic Party of Idaho, who is eighteen years of age and is a resident of Teton County shall be eligible to hold any of the TCDP offices. A person who is a TCDP Officer (Article II, Sec. 1 B) may also be a Precinct Captain.
B. Election. The Precinct Captains of Teton County shall meet at the county seat at the time and place designated by the incumbent TCDP Chair within ten (10) days after the primary election and shall organize by electing a Chair, Vice Chair, Secretary, Treasurer, State Committeeman, State Committeewoman and such other officers as they may desire. Any member of the Central Committee may nominate any resident of Teton County, who is a member of the Democratic Party of Idaho, and willing to sign an oath or affirmation as such, for any of the offices of the TCDP. Such nomination requires the second of another Central Committee member of the TCDP. Each officer shall be elected by a majority vote of the Central Committee. After the Chair has been elected, the Chair may immediately assume all the duties of Article III, Section 2, including presiding over the rest of this meeting.
C. Term. The term of office for each of the TCDP officers, except those elected to fill a vacancy, shall be two years and such term shall commence immediately following the organizational meeting at which they are elected and ending when their successor takes office.
D. Vacancies. 1. In the event of a vacancy in the office of TCDP Chair, the TCDP Vice-Chair shall convene a meeting of the Central Committee within thirty (30) days of the vacancy to elect a new TCDP Chair. If the TCDP Vice-Chair fails to complete the election or if the TCDP does not have a TCDP Vice-Chair, the State Chair shall convene the meeting, and designate a person to conduct the meeting, within thirty (30) days of the vacancy, if feasible.2. In the event of a vacancy in any other offices of the Executive Committee, with the exception of the Precinct Captains, the nomination and election of a successor to fill such vacancies shall take place at the next regular or special meeting of the TCDP in the same manner in which such officers are nominated and elected at the organizational meeting by the Central Committee.
E. Removal. Any officer may be removed from office in accordance with the following procedure (mandated by the State Bylaws Section 4.1.5):
1. Action shall be initiated by a petition specifying the reasons for removal and bearing the signatures of at least one fourth of the Precinct Captains. The completed petition shall be delivered to the TCDP Chair.
2. Within 7 days of delivery of a petition the TCDP Chair shall call and set a date, time and location for a special meeting of the Central Committee. The meeting shall occur within thirty (30) days of the TCDP Chair’s receipt of the petition. If the TCDP Chair fails to call such a meeting, any other member of the Central Committee may do so. If all the Central Committee members fail to call a meeting, the petitioners may call a meeting.
3. The TCDP secretary shall e-mail a notice of any special meeting where a petition for removal of an officer is to be considered together with a copy of the petition to all members of the Central Committee at least fifteen (15) days prior to the date of the meeting.
4. A TCDP Officer may be removed from office by a majority vote of the Central Committee present at the special meeting, including valid proxies. The quorum requirements of Article IV Section 8 will apply.
Article III. DUTIES
Article III. Section 1. Precinct Captains shall:
A. Attend all meetings and activities of the TCDP and their Legislative District Central Committee.
B. Canvas the precinct he or she represents from time to time to become acquainted with the voters, voter identification, and other relevant information relating to the demographics, voting and elections in the precinct.
C. Assist, coordinate, and cooperate with all Democratic candidates on the ballot in his or her precinct as said candidates make contact with the voters in that precinct, according to TCDP policy. Perform any such duties as may be necessary and lawful consistent with these Bylaws and the Bylaws of the Democratic Party of Idaho.
Article III. Section 2. The TCDP Chair shall:
A. Preside at all meetings of the TCDP and all meetings of the Central Committee, or Executive Committee, provided that any meeting from which the TCDP Chair will be absent, the TCDP Chair shall designate the TCDP Vice Chair as the presiding officer. In the event of an absence of the TCDP Vice Chair or a vacancy in that office, the TCDP Chair may designate a presiding officer from among the Central Committee attendees or Executive Committee attendees.
B. Set the notice of and agenda for meetings of the TCDP and Executive Committee.
C. Call such special meetings as deemed appropriate, subject to the provisions of Article IV, Section 3.
D. Appoint the Chair of all standing committees and special committees, subject to the approval of the TCDP.
E. Submit an annual or biannual budget to the TCDP. Incur obligations on behalf of the TCDP, subject to approval of the Executive Committee or TCDP.
F. Be signatory on any account containing funds of the TCDP.
G. Perform any such duties as may be necessary and lawful consistent with these Bylaws and the Bylaws of the Democratic Party of Idaho.
H. The TCDP Chair shall, on or before February 1 of each year in which a general election is to be held, and at such other times as changes occur, certify to the County Clerk the names and addresses of the Precinct Captains of the Democratic party in Teton County (IC 34-502).
Article III. Section 3. The Vice Chair shall perform any of the duties of the Chair in the event of the Chair’s absence.
Article III. Section 4. The Treasurer shall:
A. Be the custodian of any funds and property acquired by the TCDP and shall maintain accurate records pertaining to the finances of the TCDP, including but not limited to monthly accounting of assets and liabilities to be presented at Regular Meetings.
B. Perform any and all such lawful duties as may be delegated by the TCDP Chair and/or the Central Committee consistent with these Bylaws and the Bylaws of the Democratic Party of Idaho.
Article III. Section 5. The Secretary shall:
A. The Secretary records and distribute minutes of all meetings of the TCDP. Under the direction of the TCDP Chair, prepare and distribute to all members of the Central Committee and the Executive Committee, the notice of and the agenda for meetings of the Central Committee and the Executive Committee respectively. For Regular TCDP meetings, agendas will be distributed to the appropriate distribution list.
B. Maintain distribution lists.
C. Maintain a list of Precinct captains, officers, Committee Chairs and committee members.
Article III. Section 6. The State Committeeman and Committeewoman shall:
A. Represent the TCDP on the State Committee.
B. Report to the TCDP regarding the activities of the State Committee.
C. Perform such duties as may be assigned by the State Committee or its designees, or by the TCDP, and such duties as are customarily delegated to the office of State Committeeman or State Committeewoman.
Article IV. MEETINGS
Article IV. Section 1. Organizational Meeting. The Central Committee shall meet within ten days following the state primary election pursuant to Idaho Code Section 34-502, which meeting shall be the organizational meeting of the Central Committee in which only elected Precinct Captains may participate, until the election of the TCDP Chair.
Article IV. Section 2. Regular Meetings. The TCDP shall meet at least nine times each calendar year on such a date and time as may be decided by the Central Committee at its organizational meeting, subject to the provisions of Article II, Section 3 Dl, unless another date is selected by the TCDP Chair with written notice to the Precinct Captains at least three working days prior to the new date, at a location to be designated by the TCDP Chair. These meetings shall be the regular meetings of the Central Committee.
Article IV. Section 3. Special Central Committee Meetings. In addition to the special meetings which may be called under Article II, Section 2 C, and Article II, Section 3 D to fill vacancies, a special meeting of the Central Committee may be called at any time upon written notice to all members of the Central Committee by the TCDP Chair or by a majority of the membership of the Precinct Captains.
Article IV. Section 4. Special Executive Committee Meetings. The Executive Committee may meet at any time at the request of the TCDP Chair or Acting TCDP Chair for any purposes other than those functions assigned by the Idaho Code to the Central Committee.
Article IV. Section 5. Final Authority. Final authority rests with all the voting members (Article II, Section 1). Any action taken by the Central Committee or the Executive Committee, other than those specifically reserved to either the Central Committee or the Executive Committee, can be overridden at any time by a majority vote of the all the voting members present.
Article IV. Section 6. Voting. Only those voting members of the TCDP, or their proxies as provided hereafter in Section 7 who are present, shall be eligible to vote at any regular or special meeting of the TCDP. Only members of the Central Committee may vote at Central Committee meetings, and only members of the Executive Committee may vote at Executive Committee meetings.
Article IV. Section 7. Proxies. Any voting member of the TCDP may vote by proxy at any meeting of the TCDP at which s/he is entitled to vote provided that such proxy shall be in writing, signed by the voting member giving the proxy which specifically refers to the meeting by date and the name of the person to whom the proxy is given, and provided that: Any duly elected Precinct Deputy shall automatically exercise the right to vote as Acting Precinct Captain of his or her precinct at any regular or special meeting of the TCDP if the Precinct Captain of his or her precinct is absent from that meeting, without the need to obtain a written proxy. In the absence of a Precinct Deputy voting as Acting Precinct Captain, then a proxy vote may be taken as otherwise outlined in this Section.
A. A person voting a proxy for a voting member of the TCDP must be a member of the Democratic Party of Idaho and willing to sign an oath or affirmation as such, with the exception of officers and Teton County Democratic Elected Officials (Art. II Section 1 C) of the TCDP. Such proxy shall be a resident of Teton County.
B. No person voting during any meeting shall have more than one proxy.
Article IV. Section 8. Quorum. A quorum shall consist of one fourth (1/4) of the Executive Committee, as defined in Article II, Sec. 1 B., and must include within that one fourth (1/4) of the Central Committee. For a Central Committee meeting, one fourth (1/4) of the Central Committee constitutes the quorum.
Article V. COMMITTEES
Article V. Section 1. Standing and Special Committees. The TCDP Chair may establish standing and special committees to be approved by the TCDP. Committees shall perform such duties as may lawfully be delegated to it by the TCDP Chair.
Article V. Section 2. Committee Chairs. The TCDP Chair shall appoint the Chair of each standing committee and special committee and such appointment shall be subject to the approval of the voting members at the next regular TCDP meeting. The members shall be selected by the TCDP Chair and Chair of the committee.
Article V Section 3. Committee Vice Chairs and other Officers. The Chair of a special or standing committee may appoint from among the membership of that committee any such other officers as the committee Chair deems necessary to fulfill the obligations of the committee.
Article V Section 4. Meetings. The Chair of a committee shall call and preside at all meetings of that committee or shall appoint another member of the committee to preside.
Article V. Section 5. Subcommittees. Any standing or special committee may appoint from among its membership any subcommittees to perform one or more duties delegated to that committee. The Chair of each committee shall have the authority to appoint the members and the Chair of any subcommittee created by that committee.
Article V. Section 6. All committee and subcommittee chairs shall make regular reports at regular meetings of the TCDP.
Article VI. PROCEDURAL AUTHORITY
Article VI. Section 1. The procedural authority in the conduct of any and all meetings of the TCDP shall be vested in the TCDP Chair or a presiding officer designated by the TCDP Chair.
Article VI. Section 2. When any matter is properly presented for a vote at any meeting, the TCDP Chair or his or her designated presiding officer shall ask if there is any objection to the matter so presented. Hearing no objection, the TCDP Chair or presiding officer shall declare the matter approved. Hearing an objection, the TCDP Chair or presiding officer may then conduct a vote by voice of yeas and nays or by the raising of hands. Upon request of the TCDP Chair or upon request of a voting member of the TCDP, supported by no less than two additional voting members, the TCDP Chair or presiding officer shall conduct the vote by calling the names of all voting members present including any and all valid proxy votes of absent voting members, and by recording such votes.
Article VI. Section 3. All votes to recommend nominations to the appointing authority to fill vacancies as set forth in Idaho Code Section 59-901,59-902, 59-906, or 59-907 (procedures for filling vacancies in elected public office) shall be by secret ballot.
Article VI. Section 4. Subject to the provisions of these Bylaws, the most recent edition of Robert’s Rules of Order shall govern all other procedures of the TCDP, the Central Committee and the Executive Committee. Any dispute as to the interpretation of these Bylaws or Robert ‘s Rules of Order shall be resolved by the TCDP Chair or designated presiding officer.
Article VII. AMENDMENTS TO THE BYLAWS
The following shall govern the approval of any amendments to these Bylaws:
Article VII. Section 1. Only a voting member of the TCDP may propose an amendment to these Bylaws which must be submitted in written form to the TCDP Chair or Acting TCDP Chair and to any Rules and Bylaws Committee prior to the next regular meeting of the TCDP at which the proposed amendment is be considered and voted upon.
Article VII. Section 2. The proposed amendment shall be considered at the next regularly scheduled meeting of the TCDP provided notice of the amendment has been given.
Article VII. Section 3. The proposed amendment shall be approved only upon a vote of a two-thirds majority of voting members present, including valid proxies, and shall become effective as of the next regular meeting of the TCDP unless otherwise provided in the vote on the amendment.
Article VII. Section 4. Upon passage of the amendment, the Secretary or other person designated by the TCDP Chair shall cause the amendment to be distributed to all members before the next regular meeting of the TCDP unless otherwise provided in the vote of the amendment.

Amended Bylaws, February, 2014 of officers and Teton County Democratic Elected Officials (Art. II Section 1 C) of the TCDP.
Section 1. Section 3. A. Any duly elected Precinct Deputy shall automatically exercise the right to vote as Acting Precinct Captain of his or her precinct at any regular or special meeting of the TCDP if the Precinct Captain of his or her precinct is absent from that meeting, without the need to obtain a written proxy. In the absence of a Precinct Deputy voting as Acting Precinct Captain, then a proxy vote may be taken as otherwise outlined in this Section.
B. A person voting a proxy for a voting member of the TCDP must be a member of the Democratic Party of Idaho and willing to sign an oath or affirmation as such, with the exception
C. No person voting during any meeting shall have more than one proxy. Such proxy shall be a resident of Teton County.
Section 8. Quorum: A quorum shall consist of one fourth (1/4) of the Executive Committee, as defined in Article II, Sec. 1 B., and must include within that one fourth (1/4) of the Central Committee. For a Central Committee meeting, one fourth (1/4) of the Central Committee constitutes the quorum.
Article V. COMMITTEES:
Section 1. Standing and Special Committees. The TCDP Chair may establish standing and special committees to be approved by the TCDP. Committees shall perform such duties as may lawfully be delegated to it by the TCDP Chair.
Section 2. Committee Chairs
The TCDP Chair shall appoint the Chair of each standing committee and special committee and such appointment shall be subject to the approval of the voting members at the next regular TCDP meeting. The members shall be selected by the TCDP Chair and Chair of the committee.
Section 3. Committee Vice Chairs and other Officers.
The Chair of a special or standing committee may appoint from among the membership of that committee any such other officers as the committee Chair deems necessary to fulfill the obligations of the committee.
Section 4. Meetings.
The Chair of a committee shall call and preside at all meetings of that committee or shall appoint another member of the committee to preside.
Section 5. Subcommittees
Any standing or special committee may appoint from among its membership any subcommittees to perform one or more duties delegated to that committee. The Chair of each committee shall have the authority to appoint the members and the Chair of any subcommittee created by that committee.
Section 6. All committee and subcommittee chairs shall make regular reports at regular meetings of the TCDP.
Article VI. PROCEDURAL AUTHORITY:
Section 1. The procedural authority in the conduct of any and all meetings of the TCDP shall be vested in the TCDP Chair or a presiding officer designated by the TCDP Chair.
Section 2. When any matter is properly presented for a vote at any meeting, the TCDP Chair or his or her designated presiding officer shall ask if there is any objection to the matter so presented. Hearing no objection, the TCDP Chair or presiding officer shall declare the matter approved. Hearing an objection, the TCDP Chair or presiding officer may then conduct a vote by voice of yeas and nays or by the raising of hands. Upon request of the TCDP Chair or upon request of a voting member of the TCDP, supported by no less than two additional voting members, the TCDP Chair or presiding officer shall conduct the vote by calling the names of all voting members present including any and all valid proxy votes of absent voting members, and by recording such votes.
Section 3. All votes to recommend nominations to the appointing authority to fill vacancies as set forth in Idaho Code Section 59-901,59-902, 59-906, or 59-907 (procedures for filling vacancies in elected public office) shall be by secret ballot.
Section 4. Subject to the provisions of these Bylaws, the most recent edition of Robert's Rules of Order shall govern all other procedures of the TCDP, the Central Committee and the Executive Committee. Any dispute as to the interpretation of these Bylaws or Robert 's Rules of Order shall be resolved by the TCDP Chair or designated presiding officer.
Article VII. AMENDMENTS TO THE BYLAWS:
The following shall govern the approval of any amendments to these Bylaws:
Section 1. Only a voting member of the TCDP may propose an amendment to these Bylaws which must be submitted in written form to the TCDP Chair or Acting TCDP Chair and to any Rules and Bylaws Committee prior to the next regular meeting of the TCDP at which the proposed amendment is be considered and voted upon.
Section 2. The proposed amendment shall be considered at the next regularly scheduled meeting of the TCDP provided notice of the amendment has been given.
Section 3. The proposed amendment shall be approved only upon a vote of a two-thirds majority of voting members present, including valid proxies, and shall become effective as of the next regular meeting of the TCDP unless otherwise provided in the vote on the amendment.
Section 4. Upon passage of the amendment, the Secretary or other person designated by the TCDP Chair shall cause the amendment to be distributed to all members before the next regular meeting of the TCDP unless otherwise provided in the vote of the amendment. These Bylaws, upon adoption, will remain in effect until amended or repealed in accordance with Article VII.

Special Central Committee Meetings: In addition to the special meetings which may be called under Article II, Section 2 C, and Article II, Section 3 D to fill vacancies, a special meeting of the Central Committee may be called at any time upon written notice to all members of the Central Committee by the TCDP Chair or by a majority of the membership of the Precinct Captains.
Section 4. Special Executive Committee Meetings: The Executive Committee may meet at any time at the request of the TCDP Chair or Acting TCDP Chair for any purposes other than those functions assigned by the Idaho Code to the Central Committee.
Section 5. Final Authority: Final authority rests with all the voting members (Article II, Section 1). Any action taken by the Central Committee or the Executive Committee, other than those specifically reserved to either the Central Committee or the Executive Committee, can be overridden at any time by a majority vote of the all the voting members present.
Section 6. Voting: Only those voting members of the TCDP, or their proxies as provided hereafter in Section 7 who are present, shall be eligible to vote at any regular or special meeting of the TCDP. Only members of the Central Committee may vote at Central Committee meetings, and only members of the Executive Committee may vote at Executive Committee meetings.
Section 7. Proxies: Any voting member of the TCDP may vote by proxy at any meeting of the TCDP at which s/he is entitled to vote provided that such proxy shall be in writing, signed by the voting member giving the proxy which specifically refers to the meeting by date and the name of the person to whom the proxy is given, and provided that:
A. Any duly elected Precinct Deputy shall automatically exercise the right to vote as Acting Precinct Captain of his or her precinct at any regular or special meeting of the TCDP if the Precinct Captain of his or her precinct is absent from that meeting, without the need to obtain a written proxy. In the absence of a Precinct Deputy voting as Acting Precinct Captain, then a proxy vote may be taken as otherwise outlined in this Section.
B. A person voting a proxy for a voting member of the TCDP must be a member of the Democratic Party of Idaho and willing to sign an oath or affirmation as such, with the exception
C. No person voting during any meeting shall have more than one proxy. Such proxy shall be a resident of Teton County.
Section 8. Quorum: A quorum shall consist of one fourth (1/4) of the Executive Committee, as defined in Article II, Sec. 1 B., and must include within that one fourth (1/4) of the Central Committee. For a Central Committee meeting, one fourth (1/4) of the Central Committee constitutes the quorum.
Article V. COMMITTEES:
Section 1. Standing and Special Committees. The TCDP Chair may establish standing and special committees to be approved by the TCDP. Committees shall perform such duties as may lawfully be delegated to it by the TCDP Chair.
Section 2. Committee Chairs
The TCDP Chair shall appoint the Chair of each standing committee and special committee and such appointment shall be subject to the approval of the voting members at the next regular TCDP meeting. The members shall be selected by the TCDP Chair and Chair of the committee.
Section 3. Committee Vice Chairs and other Officers.
The Chair of a special or standing committee may appoint from among the membership of that committee any such other officers as the committee Chair deems necessary to fulfill the obligations of the committee.
Section 4. Meetings.
The Chair of a committee shall call and preside at all meetings of that committee or shall appoint another member of the committee to preside.
Section 5. Subcommittees
Any standing or special committee may appoint from among its membership any subcommittees to perform one or more duties delegated to that committee. The Chair of each committee shall have the authority to appoint the members and the Chair of any subcommittee created by that committee.
Section 6. All committee and subcommittee chairs shall make regular reports at regular meetings of the TCDP.
Article VI. PROCEDURAL AUTHORITY:
Section 1. The procedural authority in the conduct of any and all meetings of the TCDP shall be vested in the TCDP Chair or a presiding officer designated by the TCDP Chair.
Section 2. When any matter is properly presented for a vote at any meeting, the TCDP Chair or his or her designated presiding officer shall ask if there is any objection to the matter so presented. Hearing no objection, the TCDP Chair or presiding officer shall declare the matter approved. Hearing an objection, the TCDP Chair or presiding officer may then conduct a vote by voice of yeas and nays or by the raising of hands. Upon request of the TCDP Chair or upon request of a voting member of the TCDP, supported by no less than two additional voting members, the TCDP Chair or presiding officer shall conduct the vote by calling the names of all voting members present including any and all valid proxy votes of absent voting members, and by recording such votes.
Section 3. All votes to recommend nominations to the appointing authority to fill vacancies as set forth in Idaho Code Section 59-901,59-902, 59-906, or 59-907 (procedures for filling vacancies in elected public office) shall be by secret ballot.
Section 4. Subject to the provisions of these Bylaws, the most recent edition of Robert's Rules of Order shall govern all other procedures of the TCDP, the Central Committee and the Executive Committee. Any dispute as to the interpretation of these Bylaws or Robert 's Rules of Order shall be resolved by the TCDP Chair or designated presiding officer.
Article VII. AMENDMENTS TO THE BYLAWS:
The following shall govern the approval of any amendments to these Bylaws:
Section 1. Only a voting member of the TCDP may propose an amendment to these Bylaws which must be submitted in written form to the TCDP Chair or Acting TCDP Chair and to any Rules and Bylaws Committee prior to the next regular meeting of the TCDP at which the proposed amendment is be considered and voted upon.
Section 2. The proposed amendment shall be considered at the next regularly scheduled meeting of the TCDP provided notice of the amendment has been given.
Section 3. The proposed amendment shall be approved only upon a vote of a two-thirds majority of voting members present, including valid proxies, and shall become effective as of the next regular meeting of the TCDP unless otherwise provided in the vote on the amendment.
Section 4. Upon passage of the amendment, the Secretary or other person designated by the TCDP Chair shall cause the amendment to be distributed to all members before the next regular meeting of the TCDP unless otherwise provided in the vote of the amendment. These Bylaws, upon adoption, will remain in effect until amended or repealed in accordance with Article VII.
